Terms of Service

Welcome to Equinoxx Aviation Services. These Terms of Service ("Terms") govern your use of our website (equinoxxaviation.com), services, and any related applications or tools we provide. As an FAA-certified Part 145 Maintenance, Repair, and Overhaul (MRO) repair station, we deliver high-quality aircraft maintenance, repair, inspection, and overhaul services to private, commercial, and government clients. Our commitment to safety, compliance, and customer satisfaction drives everything we do.

By accessing our website, submitting a service request, or using our services, you agree to these Terms. If you are entering into this on behalf of a business, you represent that you have the authority to bind that entity. If you do not agree, please do not use our site or services.

These Terms incorporate our Privacy Policy by reference. This document is effective as of October 8, 2025.

1. Acceptance of Terms

These Terms form a binding contract between you ("you" or "Customer") and Equinoxx Aviation Services LLC ("we," "us," or "our"), a Georgia limited liability company with its principal place of business at 850 Airport Road, Lawrenceville, GA 30046.

We may update these Terms at any time. We'll notify you of material changes via email, website posting, or in-service notices. Continued use after changes means you accept them. It's your responsibility to review updates regularly.

2. Description of Services

We provide a range of aviation MRO services, including:

  • Airframe and powerplant maintenance, inspections, and repairs for piston, turboprop, and propeller-driven aircraft (e.g., Mooney, Beechcraft, Cirrus, Cessna, Piper).

  • Avionics installation, troubleshooting, and repair as an authorized dealer for Garmin, Avidyne, L3 Technologies, GAMI, Aspen Avionics, Genesis, PS Engineering, and DAC.

  • 24/7 Aircraft on Ground (AOG) support, parts inventory management, and interior refurbishments.

  • Consulting on aircraft management, acquisitions, and compliance with FAA regulations under 14 CFR Part 145.

Services are available at our facilities in Georgia (Gwinnett County Airport, KLZU) and Florida (including post-merger operations at Daytona Beach International Airport, DAB, and Jacksonville International Airport, JAX). We may expand to additional sites like Tampa (TPF) and Herlong (HEG).

Website features include service requests, scheduling tools, and educational resources. All services are subject to availability, FAA certification, and these Terms. We reserve the right to refuse or cancel services at our discretion, especially if safety or compliance is at risk.

3. User Accounts and Responsibilities

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, current information during registration and keep it updated.

  • Maintain the confidentiality of your login credentials and notify us immediately of any unauthorized use.

  • Use your account only for lawful purposes and in compliance with all applicable laws, including FAA regulations.

You are responsible for all activities under your account. We are not liable for losses due to unauthorized access, but we'll assist in securing your account upon notification.

As a Customer, you must ensure aircraft presented for service meet FAA airworthiness standards and provide all necessary documentation (e.g., logs, certificates). Failure to do so may result in service delays or refusal.

4. Payments and Fees

Our services are provided on a fee-for-service basis. Quotes are estimates; final charges depend on actual work performed, parts used, and any unforeseen issues discovered during inspection.

  • Billing: Invoices are issued upon service completion or as agreed. Payment is due within 30 days net, unless other terms are specified in a written agreement.

  • Methods: We accept major credit cards, ACH transfers, and checks. A 3% fee applies to credit card payments.

  • Late Payments: Overdue amounts accrue 1.5% monthly interest (or the maximum allowed by law). We may suspend services or withhold aircraft until paid in full.

  • Taxes: You are responsible for all applicable sales, use, or excise taxes.

  • Refunds: Refunds are at our discretion, minus any non-refundable deposits or costs incurred.

For government contracts, terms comply with Federal Acquisition Regulations (FAR). We do not offer financing; consult third-party providers for that.

5. Intellectual Property

Our website, logos, service marks (e.g., Equinoxx Aviation Services®), and proprietary tools are protected by U.S. and international copyright, trademark, and other laws. You may not reproduce, distribute, or create derivative works without our written consent.

You grant us a limited, royalty-free license to use your submitted content (e.g., aircraft photos for service records) solely for providing and improving our services. We retain all rights in our avionics installation guides, maintenance manuals, and software tools.

Post-merger, integrated IP from LAS MRO (e.g., jet modification techniques) remains protected.

6. Disclaimers and Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee uninterrupted service, error-free performance, or that our work will meet every expectation. Aviation involves inherent risks; while we adhere to FAA standards, we cannot warrant against all potential issues.

IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR AIRCRAFT DOWNTIME, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

These limits apply except where prohibited by law, such as for gross negligence or willful misconduct. For FAA-regulated services, liability aligns with 14 CFR Part 145 requirements.

7. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates (including Equinoxx Capital), officers, directors, employees, and agents from any claims, losses, damages, or expenses (including attorneys' fees) arising from:

  • Your breach of these Terms or misuse of our services.

  • Your provision of inaccurate information or non-compliant aircraft.

  • Infringement of third-party rights by your content.

We will notify you promptly of any claim and cooperate in your defense, but we may participate at our expense.

8. Termination

You may stop using our services at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or safety concerns, with or without notice.

Upon termination, all outstanding fees become due, and you must retrieve your aircraft or property promptly. Provisions that survive termination include IP rights, disclaimers, indemnification, and governing law.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any disputes arising from these Terms or our services shall be resolved exclusively in the state or federal courts located in Gwinnett County, Georgia. You waive any objection to venue or inconvenience.

We encourage informal resolution first: Contact us at legal@equinoxxaviation.com. For claims under $10,000, we support binding arbitration under AAA rules as an alternative.

10. Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control, such as natural disasters, strikes, supply chain disruptions, or FAA-mandated ground stops.

11. Miscellaneous

  • Severability: If any provision is invalid, the rest remain enforceable.

  • Waiver: No waiver of a breach is a waiver of future breaches.

  • Entire Agreement: These Terms, plus any signed service agreements, constitute the full understanding.

  • Assignment: You may not assign these Terms without our consent; we may assign freely.

  • Export Controls: Services comply with U.S. export laws; you must not use them in violation.
